Digicel dealer termination notices fail on contract-specific grounds

The Commercial Division distinguished an unexpired fixed term from older agreements that required at least a year’s notice.

Urban Links and Luv Chat obtained declarations and an injunction after challenging Digicel’s notices ending their dealership arrangements. The 31 July judgment rejected treating all three agreements as a single contract.

The 2020 agreement had an express six-year term ending on 30 September 2026. The court held that Digicel’s earlier notice could not unilaterally shorten that term without a contractual basis.

The two 2017 agreements had continued after their initial terms expired. For those arrangements, the court assessed reasonable notice against their particular commercial circumstances and required at least one year, rather than either side’s proposed period.

The ineffective notices and elapsed litigation time did not supply the missing notice. The injunction restrained replacement or disruption until lawful expiry or termination, and costs went to the dealers. Later notices, appeals and events after the stated fixed-term expiry are not established here.

The one-year notice period was a finding for these continuing agreements, not a universal dealership rule. Complete official judgment reviewed; subsequent appeals or treatment have not been checked.
